DMCA Takedown and Copyright Policy

The Knife Shift LLC ("Knife Shift," "we," "us," "our") respects the intellectual property rights of others and expects users of our Platform to do the same. In accordance with the Digital Millennium Copyright Act of 1998 (the "DMCA"), the text of which may be found on the U.S. Copyright Office website at http://www.copyright.gov/legislation/dmca.pdf, we will respond expeditiously to claims of copyright infringement committed using the Knife Shift platform or website (the "Platform") that are reported to our Designated Copyright Agent identified below.
SECTION 1: PROCEDURE FOR REPORTING COPYRIGHT INFRINGEMENT (TAKEDOWN NOTICE)
If you are a copyright owner, or are authorized to act on behalf of one, please report alleged copyright infringements taking place on or through the Platform by completing the following DMCA Notice of Alleged Infringement and delivering it to our Designated Copyright Agent.
To be effective, your notice must be in writing and include the following information:
- Your Signature: A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
- Identification of the Copyrighted Work: Identification of the copyrighted work claimed to have been infringed. If multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site is sufficient.
- Identification of the Infringing Material: Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled. Please provide information reasonably sufficient to permit us to locate the material, including, at a minimum, the URL of the link shown on the Platform where such material may be found.
- Your Contact Information: Information reasonably sufficient to permit us to contact you, such as your name, address, telephone number, and email address.

Required Statements: Both of the following statements in the body of the notice:
- "I hereby state that I have a good faith belief that the disputed use of the copyrighted material is not authorized by the copyright owner, its agent, or the law (e.g., as a fair use)."
- "I hereby state that the information in this notice is accurate and, under penalty of perjury, that I am the owner, or authorized to act on behalf of the owner, of the copyright or of an exclusive right under the copyright that is allegedly infringed."

SECTION 2: OUR RESPONSE PROCESS
Upon receipt of a valid DMCA notice, Knife Shift will:
- Promptly remove or disable access to the allegedly infringing material.
- Forward the written notification to the user or Vendor who posted the material.
- Take reasonable steps to promptly notify the user or Vendor that we have removed or disabled access to the material.
SECTION 3: PROCEDURE TO FILE A COUNTER-NOTICE
If you are a user or Vendor who believes that material you posted was removed or access to it was disabled by mistake or misidentification, you may file a counter-notification with us (a "Counter-Notice") by submitting a written communication to our Designated Copyright Agent.
To be effective, your Counter-Notice must include substantially the following:
- Your Signature: Your physical or electronic signature.
- Identification of Removed Material: Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or disabled.
- Statement Under Penalty of Perjury: A statement, under penalty of perjury, that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material.
- Your Contact Information: Your name, address, telephone number, and email address.
- Consent to Jurisdiction: A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or if your address is outside of the United States, for any judicial district in which Knife Shift may be found), and that you will accept service of process from the person who provided the original infringement notification or an agent of such person.
Upon receipt of a valid Counter-Notice, Knife Shift will forward a copy to the complaining party. The complaining party will then have ten (10) business days to notify us that they have filed a lawsuit seeking a court order to restrain you from engaging in the infringing activity. If we do not receive such notification, we may, at our discretion, reinstate the material.
SECTION 4: REPEAT INFRINGER POLICY
It is the policy of Knife Shift to terminate, in appropriate circumstances and at our sole discretion, the accounts of users or Vendors who are deemed to be repeat infringers of copyright.
